RULES AND REGULATIONS (BYE LAWS )
ARTICLE I
NAME OF THE ASSOCIATION;

The name of the association shall be ‘Tamil Nadu Federation of Women Lawyers’

ARTICLE II
ADDRESS OF REGISTERED OFFICE;

The Office of the Federation shall be at: Chamber No.217, New Additional Law Chambers,
High Court Buildings, Chennai – 600 104.

ARTICLE III;
AIMS AND OBJECTS;

  • To uphold and safeguard constitutional rights of the citizens and work for the preservation of the Rule of Law.
  • To uphold the independence of the Judiciary and to ensure greater efficiency in the administration of justice.
  • To promote the rights and welfare of women and children particularly through legislation and help them in the exercise of their rights.
  • To support, protect and uphold the status, interest, prestige and dignity of women lawyers and to secure for them just rights, privileges and status.
  • To promote studies in the science of jurisprudence and of comparative laws.
  • To further the diffusion of knowledge of the laws and in particular laws relating to women and children.
  • To express opinion upon all legislations and in particular, those concerning or affecting the rights, privileges and interest of women and children.
  • To strive to make access to justice less expensive.
  • To uphold the highest traditions of the legal profession and to promote legal education.
  • To maintain the rights and privileges of women lawyers of the state.
  • To promote the formation of district units of the federation in different parts of the state.
  • To cooperate with Bar Associations and associations of women lawyers in the state in order to create better relations amongst the legal fraternity in general and amongst women lawyers in particular by working in harmony with them..
  • To cooperate and / or affiliate with organizations with similar aims and objectives.
  • To undertake such work as may be decided upon by the federation from time to time.

ARTICLE-IV COMPOSITION AND MEMBERSHIP

The Federation shall be an organization composed of members with a governing board and an executive council.

  • Membership:
  • A woman lawyer– being a law graduate from any recognized university, enrolled with any bar council in India and practicing as an advocate in any part of Tamil Nadu can become member of the federation by paying the prescribed fee.

  • CATAGORIES OF MEMBERSHIP:
    • ORDINARY MEMBER;
    • Any woman lawyer being a law graduate from any recognized university, enrolled with any bar council in India and practicing, as an advocate in any part of the state can become member of the federation by paying the prescribed annual fee.

    • LIFE MEMBERSHIP;
    • Any woman lawyer being a law graduate from any recognized university, enrolled with any bar council in India and practicing, as an advocate in any part of TamilNadu can become member of the federation by paying the prescribed life membership Fee. The life membership fee shall be Rs.1000/-.

    • ASSOCIATE MEMBER;
    • Women law graduates of any recognized Law school or collage or university in India or abroad may apply to become associate member. The associate member shall have the right to attend the conferences and meetings of the federation and to express herself with the permission of the chair but shall not have right to vote.

    • PATRONS;
    • Distinguished men and women who are interested in the advancement of women in the legal profession may be invited by the executive council to become patrons of the federation. Such patrons shall have the right to attend the conferences and meetings and speak there at but shall not have right to vote.

    • HONORARY MEMBERS:
    • Distinguished women law graduates or women in judiciary may be invited by the executive council to become Honorary Members of the federation. Honorary Members shall have right to participate and express themselves in the meetings and conferences but shall not have right to vote.

    • STUDENT MEMBERS :
    • Women Law students who expect to practice law may apply to become student members. Such Student members shall be entitled to attend the meetings, seminars and conferences but shall not have right to vote.

Objectives of the Trust

SUBSCRIPTION AND DUES

I)         SUBSCRIPTION ;

Any person eligible to become member of the federation shall apply in the prescribed format along with required documents and prescribed fee. The treasurer or the secretary having been satisfied with the application may admit the member by issuing the receipt and a membership card. There shall be three categories of MEMBERSHIP subscription.

I)         ANNUAL MEMBERSHIP
II)        LIFE MEEMBERSHIP
III)      AFFILIATION MEMBERSHIP

I)         ANNUAL MEMBERS;

The executive council shall determine the amount for annual subscription for ordinary membership, associate membership, student membership respectively, which shall be paid on or before 10th day of February of each year. The fee for annual membership for all categories shall be Rs.100/-.

ii)         LIFE MEMBERS;

The executive committee shall fix the subscription amount for life membership from time to time. However the subscription amount for life membership for all categories of membership shall be the same. The fee for life membership for all categories shall be Rs.1000/-.

iii)        AFFILIATION MEMBERS:

            Each District unit, which is interested in being affiliated to the Federation, shall pay an annual subscription, which shall be fixed by the Executive Council from time to time.  For the present, it shall be Rs.1,000/- per annum.

iv)        The executive council shall charge an admission fee at the time of admission of a member in addition to the fee mentioned above.

v)         The executive council may charge special / additional fee from members and non-members for any special events including conferences and seminars.

vi)        The patrons and honorary members shall not be liable to pay any membership subscription.
II)        Dues & Default;

All members shall pay the subscription within the time prescribed by the executive council. In the event of non-payment, such members shall be considered as Defaulters.

Such defaulters shall not be entitled for any of the rights of a member including casting of votes. However, on payment of the dues, such member/members shall continue to be the member of the federation.  

CESSATION OF MEMBERSHIP

 

A member shall cease to be a member

  1. On Death
  2. On Resignation in writing
  3. On CEASING TO BE AN ADVOCATE; In the case of member by ceasing to be member on the rolls of any court or any bar council as a legal practitioner, Or

 

  1. DEFAULTER; A default member who fails to pay the prescribed subscription, provided however that the defaulting member shall be allowed to continue the membership by paying the arrears. 
  1.  By Termination:The executive committee may terminate the membership of a member whose presence in the federation may be considered to be detrimental to the interest of the federation, provided the executive council shall give such member an opportunity of being heard in her defense. However the executive council may review its decision upon being requested so by 20 members of the federation in writing.

 

ARTICLE V
THE MANAGEMENT;

The federation shall be managed by the elected office bearers - The Governing Board, The Executive Council, and the Members.

The federation shall consists of following

 

i)          GOVERNING BOARD
ii)         EXECUTIVE COUNCIL
iii)        THE GENERAL BODY

i)          GOVERNING BOARD:

The Governing Board (for the purpose convenience hereinafter referred to as G.B.) is the elected committee, Elected by the general body. It consists of office bearers such as

a)         The President
b)         Three Vice Presidents
c)         One Secretary
d)         One Treasurer
e)         One Parliamentarian
f)         Three Joint Secretaries

The governing board shall execute all resolutions passed by the executive council. It is the responsibility of the governing board to do such acts in consonance with the Byelaw of the federation and the resolutions of the executive council and the general body.


II)        EXECUTIVE COUNCIL:

The executive council (For the purpose of convenience hereinafter referred to as E.C.), shall consist of – (a) Governing board members, (b) Two members each from the different units. These members shall be elected or nominated by the respective units.

III)      THE GENERAL BODY - The general body shall consist of (a) LIFE MEMBERS & (b) ANNUAL MEMBERS – who are not defaulters & who have paid their dues by 1st of March every year.

ARTICLE VI
QUALIFICATION, RIGHTS & DUTIES OF MEMBERS OF THE G.B.&, THE E.C,;

I)PRESIDENT:

The president shall be the head of the federation. She shall chair all meetings, conferences, seminars or any other functions that may be organized by the federation. She shall be elected by the general body members at the biennial conference. She shall be
a)         An Indian
b)         An actively practicing advocate enrolled with  the state Bar Council
c)         She shall have a minimum of 20 years standing in the advocate profession.
d)         She should be a LIFE MEMBER of the federation
e)         She should have served as an   Executive council member of the federation  or either  as a president or vice president of a district unit

VICE PRESIDENTS:

There shall be three   vice presidents in the governing Board of the federation. These vice presidents shall be elected by the general body members. The vice presidents shall act as presidents in the absence of the president or do any other act that they may be authorized to do so by the executive council.

a)         An Indian
b)         An actively practicing advocate enrolled with the state Bar Council.
c)         She shall have a minimum of 15 years standing in the advocate profession.
d)         She should be a LIFE MEMBER of the federation

SECRETARY;

The secretary shall be the person in charge of communication between the governing board & the executive council, the executive council and the general body members of the federation. She shall be responsible for convening the meetings, with the prior permission of the President. She, with the assistance of the joint secretaries, shall record the minutes of the Meetings. She shall be elected by the General Body Members at the biennial conference. She shall be:

a)         An Indian
b)         An actively practicing advocate enrolled with the state Bar Council 
c)         She shall have a minimum of 15 years standing in the advocate profession.
d)        She should be a LIFE MEMBER of the federation

TREASURER;  
The Treasurer shall be the person in charge of funds and accounts of the federation. She shall be elected by the general body members at the biennial conference. She shall be:

a)         An Indian
b)         An actively practicing advocate enrolled with the state Bar Council 
c)         She shall have a minimum of 15 years standing in the advocate profession.
d)        She should be a LIFE MEMBER of the federation

PARLIMANTARIAN:
She shall be in charge of the constitution & the amendments. She shall be elected by the general body members at the biennial conference. She shall be:

a)         An Indian
b)         An actively practicing advocate enrolled with the state Bar Council.
c)         She shall have a minimum of 20 years standing in the advocate profession.
d)         She should be a LIFE MEMBER of the federation
e)         She should have served as a   GOVERNING BOARD member of the federation either as a vice president or as a president of federation.

JOINT SECRETARY:

There shall  be  three  JOINT SECRETARIES in the Governing Board of the federation. These joint secretaries shall be elected by the general body members. The joint secretaries shall represent different regions of Tamil Nadu.  She shall belong to such region which she represents. Such joint secretaries shall co-ordinate with the secretary of the federation and the vice president of their region. She shall assist the vice president of their region & shall take care of over all activities of their respective region they are elected to. She shall be

a)         An Indian
b)         An actively practicing advocate enrolled with the state Bar Council in India.
c)         She shall have a minimum of 10 years standing in the advocate profession.
d)         She should be a LIFE MEMBER of the federation

The term of the office bearers of the Governing board shall be TWO years or till the next elections are held.


II)        EXECUTIVE COUNCIL;

The executive council shall consist of the:

1)         ALL the Governing board members who are elected by the general Body members
2)         Two members each from all the units will be the Executive council Members. They shall be elected or nominated by their respective units. She shall be

a)         An Indian
b)         An actively practicing advocate enrolled with  the State  Bar council.
c)         She shall have a minimum of 10 years standing in the advocate profession.
d)         She should be a LIFE MEMBER of the federation

e)         She should be a member of an affiliated district unit

3)            presidents  of all the affiliated district units;

4)         The term of the members of the executive council shall be Two years or till the next elections are held.
5)         The executive council of the federation shall meet once in every three months
6)         The meeting may be held any where in the state, which may be decided by the executive council.
7)         The Governing Board shall hold it’s meeting whenever it is necessary. The governing board members can also take decisions through E-mails/SMS if holding meeting is not feasible. The President shall seek the opinion of the Governing Board members through E-Mail/SMS and take such decision on the advice of G.B. Members.
8)         The Governing Board shall guide and manage the activities of the federation and represent the federation effectively.

III)      VACANCIES;

i)          In the event of a vacancy in any of the office from any cause whatsoever, the executive council shall fill such vacancies by nominating an eligible member, at the meeting immediately following such office becoming vacant. The person so appointed shall serve for the unexpired period of the term of office she is taking over.
ii)         Should a member of the executive council be temporarily unable to discharge her duties of her office, the governing board shall make such temporary replacement for such period. Such appointments may be ratified by the executive council.

IV)      The executive council shall appoint an auditor for auditing the accounts of the federation.

V)        The Executive council shall have the power to appoint committees and sub committees or individual members to carry out specific schemes and assignments. Such committees or members shall submit a report on completion of such assignment to the executive committee.

 

VI)      The executive council shall hold a minimum of four meetings in a year. The secretary shall give a minimum of three weeks notice before the scheduled meeting.
V)        The decisions shall be taken by majority votes .In case of equality of votes, the chair shall have the second vote.
VII)     Urgent matters may be decided by majority votes that are procured within the fixed time. The agenda may be circulated through E-Mails/SMS or fax apart from courier service.
VIII)   The executive council shall have the power to make byelaws for smooth functioning of the federation, which shall not be conflicting with the constitution of the federation. Such byelaws may be paced before the general body for ratification.

TERM OF OFFICE: The term of office of members of the Governing Board and the executive council shall be for two years or till the next elections are held. The membership of the executive council and the governing board shall cease

  1. On Death or
  2. On Resignation or
  3. The member remaining absent for two consecutive meetings of the executive council without leave or prior permission of the chair.

d)   On the member ceasing to be the primary member of the federation. All office bearers shall hand over all records, documents of the Federation to the incoming team on expiry of their term.

QUORUM ;

1)   The quorum for governing Board meeting shall be five members. (Either in person or through E-mail/SMS).
2)   The quorum for executive council shall be 7 persons.
                           

ARTICLE VII
FINANCIAL YEAR AND FUNDS

The financial year of the federation shall begin on the first day of April and shall end with the last day of March of the following year.

i)          The executive council shall have power to raise funds for the federation by way of Donations, Gifts, Grants, Loans, or other suitable means.

ii)         All monies belonging to the federation may be kept in current or savings accounts with a nationalized bank. The executive council may invest in properties that may be beneficial to the federation. The E.C. may vary such investment from time to time as it may deem it fit. 
iii)        All bank accounts and investments shall be in the name of the federation.
iv)        All the bank accounts shall be operated jointly by the President and treasurer   or any of the vice president in the absence of President and as may be decided by the E.C. from time to time. Such persons may be authorized by the E.C.

v)         The E.C. may authorize any two members of the Governing Board, to open a bank account at any place for a specific purpose/event. Such persons shall report and submit the accounts to the E.C, and Governing Board, immediately after completion of that event.

 

 

vi)        The accounts of the federation shall be audited annually by 30th September of every year. The two year audited accounts shall be presented before the General body in the biennial conference to be adopted by the GENERAL BODY.

ARTICLE VIII

MEETINGS AND CONFERENCES.

 i)         GOVERNING BOARD MEETINGS;

The Governing Board shall consist of all the elected office bearers of the federation (As detailed in article V (i) of this constitution).

  1. The president shall chair all the G.B Meetings.

 

    b)    The GOVERNING BOARD meetings may be called whenever the president desires so, However there shall be a minimum of ten days prior notice.

c)   The G.B. members who are not able to attend such meetings may express their opinion through E-Mails. The secretary shall place the same in the meetings. The board may take the decision on the basis of all the opinions received either by the members present or received through E-Mails.
d)   The place of meeting shall be decided by the G.B, from time to time or in the absence of such decision the president may take such decision in consultation with the other office bearers.
ii)   EXECUTIVE COUNCIL MEETINGS;

The executive council shall consist of 1) The G.B. members 2) the elected/nominated members from the units.

  1. The E.C. shall hold a minimum of eight meetings in two years i.e. once in every three months.

 

  1. The place of meeting shall be decided by the E.C. from time to time
  1. The secretary shall call the meeting as scheduled by the E.C. in the prior meeting. However there shall be 15 days notice for such meetings.

 

  1. The E.C. shall take decisions by majority votes.

III) GENERAL BODY MEETINGS;

The general body of the federation shall consist of all its members including the elected Governing board members, the executive members, ordinary members who are not defaulters and the Life members.

  1. Annual  General  Body Meeting; The  E.C. may call and hold an annual general body meeting .Notice of such meeting with the agenda shall be sent under certificate of posting or by courier at least two months prior to the date fixed for such meeting to every state unit, single member etc. and to every member. The following business, inter alia, shall be transacted.

  1. Agenda for the conference.

i)    Adoption of the Biennial Report of the activities conducted by the Federation.
ii)   Adoption of the audited annual statement of Accounts
iii) Election of the office Bearers. (Only those members who have completed three years of continuous membership as such shall be entitled to contest for the post of office bearer. However this may be exempted for the first three years.)
iv)  Election of the Governing Board by ordinary and life members. Only those ordinary members who have paid their dues by 10th day of February or any other day that may be fixed by the E.C. and the life members can participate in the elections.
v)   Passing of resolutions or proposal appearing on the agenda
vi)  Any other urgent issue with the permission of the chair.

B)        SPECIAL GENERAL BODY MEETINGS;

 i)         The executive council when ever it is necessary or on an application of 1/3 voting members of the federation may call and hold a special general body meeting for a specific  agenda.

 

ii)         For quorum and voting, the same rules as in Annual General body meetings are applicable.

iii)        Notice shall be given to all the members through E-mails or certificate of posting or S.M.S. whichever is convenient /or may be decided by the E.C.

C)        QUORUM:

1)         The quorum for governing Board meeting shall be five members (either in person or through E-MAIL).

2)         The quorum for executive council shall be 10 persons.

3)         The quorum for the General Body Meeting shall be twenty five voting members. If no quorum is formed, the meeting shall be adjourned for fifteen minutes. The meeting shall be reconvened after fifteen minutes. Such reconvened meeting can proceed with the business.

C)        ACTIVITIES:

In addition to the conferences the federation may organize seminars, regional conferences, training programs or take up any other activities, which are not opposed to the principles and objects of the constitution of the federation.


 

ARTICLE X
ELECTIONS

 

Election to the governing board and the executive council shall be held every two years at the Biennial conference/general body Meeting.

i)          The executive council shall appoint a returning officer two months prior to the scheduled elections. The Returning officer should be a senior member of the Bar, a life member of the federation and preferably a previous president/immediate past president of the federation. She shall conduct the elections in consultation with the president and the parliamentarian,

 ii)        The secretary and treasurer shall prepare a list of members who are eligible to vote and furnish the same to the secretariat and to the returning officer 60 days prior to the scheduled elections. The life members and ordinary members who have paid their dues as on 1st of March only are eligible to vote.

iii)        The returning officer shall fix the date of election in consultation with the Governing Board.

iv)        The returning officer shall notify the calendar of events 30 days prior to the scheduled elections and serve the same on all members of the executive council who in turn shall notify in their units at least 30 days prior to the elections.

v)         The Returning officer shall send the copy / copies of the nomination, which shall be in a form prescribed, prepared and circulated by the Returning Officer.

vi)        Only the members eligible to vote may file their nomination to the desired post within the time fixed by the returning officer along with the required documents and fee.

vii)       The returning officer may  fix the date of election preferably to coincide with the conference/ the annual general body meeting.

viii)      The Returning officer may appoint three more persons as assistant returning officers to assist her in conducting the elections.

III)      PROCEDURE FOR HOLDING ELECTIONS;

    1. The returning officer shall publish the voters list 30 days prior to the scheduled elections in the office of the federation  .The members shall register their objections if any

 

    1. After carrying out such corrections in the voters list the returning officer shall publish calendar of events in all the state units through the state president / or the executive council members giving 15 days time to file the nominations.
    1. The interested members may file their nominations validly proposed and seconded to reach within the time fixed by the returning officer (such filing may be through registered post or E- filing),

 

    1. The 16th day shall be fixed for scrutiny.

 

    1. Two days may be fixed for withdrawals of nominations.
    1. The returning officer shall thereafter publish the list of validly nominated candidates on the same day after the time for withdrawals are over.

 

    1. If there is no contest for any of the post, the returning officer shall declare the said candidate/s as successful candidates. In the event of contest for any post/s the returning officer shall fix a date after 14 days from the day of publication of valid nominations as the day of election preferably to coincide with the last day of the biennial conference.

h)   The returning officer shall hold the elections by a secret ballet.
i)    The Returning officer shall hold the counting &declare the results on the same day of elections.
j)   The returning officer shall declare the results immediately after completion of the results and submit the report within a week to the executive council.

ARTICLE XI
AMENDMENTS

Any Article of the constitution or any part thereof may be amended at a general body meeting of the federation by the two-thirds majority of the eligible members present and voting.

I)   Any amendment may be proposed by the executive council or any two members who are having the right to vote.

ii)  Such proposed amendment may be circulated among the members of the executive council who in turn may notify in their units. The proposed amendment/s may be circulated before a minimum 30 days in advance.

iii)    Discussions on such amendments may be taken either in a special general body meeting specially called for this purpose or in an annual general body meeting.

iv)  Such proposed amendments shall be listed in the agenda and be discussed in the meeting. After the discussion it shall be put to vote. Decisions may be taken by a 2/3rd of the majority votes of the members   (who are having the right to vote) present in the meeting.

v)  The General body may pass such resolutions. The E.C. shall incorporate such amendment adopted by the general body.

ARTICLE XII
LANGUAGE OF THE FEDERATION

TAMIL / ENGLISH shall be the official language of the federation.
